Et si tel n\u2019est pas le cas, il devrait en \u00e9tudier les raisons et les expliquer \u00e0 ses actionnaires et autres interlocuteurs. Est-elle ad\u00e9quate ? Le conseil comprend-il un m\u00e9lange appropri\u00e9 d'administrateurs non ex\u00e9cutifs, ex\u00e9cutifs et ind\u00e9pendants ? Et nous devrions v\u00e9rifier si cette composition offre la combinaison ad\u00e9quate d\u2019aptitudes en termes de connaissances et d\u2019expertise techniques, d'exp\u00e9rience et de diversit\u00e9.
